Agenco claims no ownership interest in client-provided data except to the extent necessary to provide contracted Services.

Both Agenco and the client agree to maintain the confidentiality of all non-public information disclosed during the course of the business relationship, including:

- Operational analytics
- Trade secrets
Neither party shall disclose confidential information to unauthorized third parties except:

Agenco’s total aggregate liability under this Policy or any related Services shall not exceed the total fees paid by the client to Agenco during the six (6) months preceding the event giving rise to the claim, unless otherwise specified in a written agreement.

Clients agree to indemnify, defend, and hold harmless Agenco, its affiliates, officers, employees, and contractors from any claims, liabilities, damages, losses, or expenses arising out of:
- Client misuse of Services
- Unauthorized use of third-party data
- Violation of laws or regulations
- Breach of this Policy or related agreements
14. Governing Law & Dispute Resolution
This Policy shall be governed by and construed in accordance with the laws of the jurisdiction in which Agenco is legally registered, without regard to conflict-of-law principles.
Any disputes arising under or related to this Policy shall first be attempted to be resolved through good-faith negotiations between the parties.
If resolution cannot be reached, disputes shall be submitted to the competent courts or arbitration forums located within Agenco’s registered jurisdiction, unless otherwise agreed in writing.
